Terms of Service

1. Agreement to Terms

By accessing or using SpectroNova's vehicle leasing management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and SpectroNova, governing your access to and use of the Service.

2. Definitions

• "Service" refers to the SpectroNova platform, including all features, applications, and APIs.
• "User" means any individual or entity that accesses or uses the Service.
• "Subscriber" means a User who has registered for a paid subscription.
• "Content" means any data, text, images, or materials uploaded to or generated by the Service.
• "Organization" means a business entity registered on the platform.
• "Workspace" means a subdivision within an Organization for operational separation.

3. Account Registration

3.1 Eligibility

To use SpectroNova, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under UAE law or any other applicable jurisdiction
• Provide accurate and complete registration information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using strong passwords and enabling two-factor authentication

3.3 Business Accounts

If you register on behalf of a business, you represent that you have authority to bind that entity to these Terms. The entity agrees to be responsible for all Users associated with its account.

4. Subscription and Payments

4.1 Subscription Plans

SpectroNova offers various subscription plans with different features and pricing. Details of current plans are available on our pricing page. We reserve the right to modify plans and pricing with 30 days' notice.

4.2 Payment Terms

• All fees are quoted in AED (UAE Dirhams) unless otherwise specified
• Payments are due in advance for the subscription period
• We accept major credit cards, bank transfers, and approved payment methods
• All prices are exclusive of applicable taxes (including UAE VAT at 5%)

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You may disable auto-renewal at any time through your account settings.

4.4 Late Payments

If payment fails or is overdue:

• We may suspend access to the Service
• Late payment fees may apply (1.5% per month on overdue amounts)
• We may pursue collection through legal means

6. Acceptable Use

6.1 Permitted Use

You may use SpectroNova for:

• Managing vehicle leasing and rental operations
• Processing customer contracts and agreements
• Managing fleet and vehicle information
• Processing payments and invoicing
• Customer communication through integrated channels

6.2 Prohibited Activities

You may NOT:

• Use the Service for any illegal purpose or in violation of UAE law
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Scrape, data-mine, or reverse engineer the Service
• Resell, sublicense, or redistribute the Service without authorization
• Use the Service to store or transmit content that infringes intellectual property rights
• Impersonate another person or entity
• Use the Service for money laundering or terrorist financing

7. Data and Content

7.1 Your Data

You retain all rights to data you upload to SpectroNova. You grant us a limited license to use, store, and process your data solely to provide the Service.

7.2 Data Accuracy

You are responsible for ensuring the accuracy of data entered into the platform, including:

• Customer identification information
• Vehicle registration and details
• Contract terms and pricing
• Financial records and transactions

7.3 Data Export

You may export your data at any time through the platform's export features. Upon account termination, you have 30 days to export your data before it is deleted.

7.4 Data Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Intellectual Property

8.1 Our Rights

SpectroNova and its licensors own all intellectual property rights in the Service, including:

• Software, algorithms, and source code
• User interface designs and graphics
• Trademarks, logos, and brand elements
• Documentation and training materials
• AI models and machine learning systems

8.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during your subscription term.

8.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use this feedback without compensation or attribution.

9. Third-Party Integrations

SpectroNova integrates with third-party services including:

• WhatsApp Business API: Subject to WhatsApp's terms of service
• Salik: Subject to RTA terms and conditions
• Emirates ID (ICP): Subject to UAE government regulations
• Payment Processors: Subject to their respective terms

We are not responsible for the availability, accuracy, or policies of third-party services. Your use of third-party integrations is at your own risk.

10. Disclaimers

We disclaim all warranties including:

• Merchantability and fitness for a particular purpose
• Uninterrupted or error-free operation
• Accuracy or reliability of any information
• Non-infringement of third-party rights
• Security of data transmission or storage

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW:

• SpectroNova shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for losses arising from third-party services or integrations
• We are not liable for data loss or corruption beyond our control

These limitations apply regardless of the theory of liability (contract, tort, or otherwise).

12. Indemnification

You agree to indemnify, defend, and hold harmless SpectroNova and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content or data uploaded to the Service
• Your violation of applicable laws or regulations

13. Termination

13.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support. See our Cancellation Policy for details.

13.2 Termination by Us

We may suspend or terminate your account if:

• You breach these Terms
• You fail to pay fees when due
• Your use poses a security risk
• Required by law or government authority
• We discontinue the Service (with 90 days' notice)

13.3 Effect of Termination

Upon termination:

• Your access to the Service will be revoked
• You have 30 days to export your data
• Outstanding fees remain payable
• Provisions that by their nature should survive will remain in effect

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Dubai.

14.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

1. Negotiation: Good faith discussions for 30 days
2. Mediation: Through the Dubai International Arbitration Centre (DIAC)
3. Arbitration: If mediation fails, binding arbitration under DIAC rules

The seat of arbitration shall be Dubai, UAE. Proceedings shall be conducted in English.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and other policies referenced herein, constitute the entire agreement between you and SpectroNova.

15.2 Amendments

We may modify these Terms at any time. Material changes will be notified 30 days in advance. Continued use after changes take effect constitutes acceptance.

15.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.

15.4 Waiver

Our failure to enforce any provision does not constitute a waiver of that right.

15.5 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations to an affiliate or successor.
